I have never used win2k for my servers, but an associate who did used it in the past talled me bad things about.
Maybe you should better try linux if you want to use apache, php, cgi and mysql

my win xp serv seems to do ok with all that installed.. i just want the server to be faster, seems 64bit motherboard would be fast but not fast enough with xp..

Do you mean 64 bit proccessor?
Windows do not fully support 64bit architecture yet, unix system do that since the 70's

windows xp has a separate Os for 64 bit machines , Win XP Pro 64bit.. and it runs like lightning except for the server as u can see with tlove2.com

I believe that windows s**ks anyway, and if you are not forced to use them (eg. because you use ASP or msSQL) then you don't really need them.
Linux is very faster, and even if it is much harder to set it up, I think it worths the effort.

The guy that I am working with is a bit expensive (as he is working on big projects for universities here in Greece), but I would recommend you to try it yourself using something like
XAMPP.
It is very easy to install, and it has all the modules that you'll need configured and ready to run.

hmm i may really consider this, but first, i must purchase like 5 120GB HD's to run the new server.. if im gonna add one, i might as well go big.

Meth0d you could honestly teach your self linux in 1day. Its that easy to use. But to the answer to your question.
www.dslwebserver.com has some nice windows 2000 server guides.

With that quide i had set a server with win2k.
The only thing i think that it doesn't explain is how to link php with apache.
I am not sure about that because it's been a long time since i set the server.
